Modernization of the group structure

By modernizing our group structure, we are implementing a key element of our "Strategy 2030 – Accelerating Sustainable Growth." 

Over the past decades, our company has evolved from the former Deutsche Bundespost into a leading global logistics group. Today, we operate in over 220 countries with around 584,000 employees. Despite this dynamic growth, the legal structure has remained largely unchanged.

The aim is to align this historically evolved legal structure with the management structure already in place. In doing so, we intend to strengthen our leading position in global logistics and further improve the organizational foundation for sustainable growth.

Overview of the new structure

* In the following, the addition (new) is used for differentiation purposes and the new company is referred to as Deutsche Post AG (new); it will be called "Deutsche Post AG" in the target case.

With the modernization of the group structure, the listed parent company – which will operate under the name DHL AG in the future – will focus on strategic and governance tasks and cross-divisional services. All operational logistics activities will be transferred to independent, wholly owned subsidiaries.

In this context, the Post & Parcel Germany division will be transferred from the current Deutsche Post AG to its unlisted stock corporation and wholly owned subsidiary by means of a “hive-down to an existing entity” (Ausgliederung zur Aufnahme; section 123 (3) no. 1 of the German Reorganization Act) which results in a transfer of the division by operation of statutory laws. Accordingly, the business activities of the Post & Parcel Germany division will be operated independently in the new entity – under the well-established legacy name Deutsche Post AG – and it will assume full operational responsibility for the national mail and parcel business.
  

1.       Group parent company

The listed parent company will operate under the name DHL AG in future.
Its tasks will also include:

  • strategic management
  • group-wide governance
  • cross-divisional services
     

2. Post & Parcel Germany to become an independent company

The Post & Parcel Germany division will operate as an independent company in the future under the established name Deutsche Post AG while remaining part of the DHL Group.

This new company will continue to perform all the tasks of the Post & Parcel Germany division:

  • full operational responsibility for the national mail and parcel business
  • role of the postal successor company including employer status

What will change for employees? Nothing.

There will be no disadvantages for our employees as a result of this restructuring; everything will remain as it is. The transfer of employment relationships will take place in accordance with Section 613a of the German Civil Code:

  • All working conditions, salaries, rights and obligations remain fully intact
  • All collective bargaining agreements and works agreements continue to apply unchanged
  • Places of work and other organizational arrangements remain unchanged
  • Close cooperation with the social partners: focus on transparency, protection and stability

Planned timeline

The new group structure is to be fully implemented in the second half of 2026. The modernization will become legally effective following a resolution by the Annual General Meeting on May 5, 2026, and the entry of the hive down in the commercial register of the current Deutsche Post AG.
